Joy Yin holds an LL.M. from Shanghai Jiao Tong University and brings over a decade of legal practice in China, with a focus on U.S.-China cross-border corporate matters and commercial dispute resolution.

Ms. Yin works closely with companies across every stage of growth, advising on corporate governance, strategic business decisions, commercial negotiations, and complex litigation and disputes. She approaches each matter from the client's overall operational perspective, identifying risk early and delivering practical, actionable solutions.

For Chinese-owned businesses planning to enter the U.S. market or already established and operating there, Ms. Yin provides end-to-end coordination and advisory support tailored to each stage of a company's growth in the United States — from investment structuring and due diligence, to entity formation and operational compliance, to commercial dispute resolution and executive-level immigration planning. She has studied U.S. federal law and California law in depth and works closely with U.S.-based legal counsel, coordinating legal resources across both countries to help clients develop clear, actionable solutions — including, where needed, coordinated access to litigation and procedural support in the United States.

Joy selected matters and ongoing general counsel engagements include:

① Investment Structuring & Due Diligence

  • Assisted multiple China-based companies and their offshore affiliates with due diligence covering corporate governance, regulatory compliance, and asset review, including matters involving publicly listed companies and their overseas subsidiaries.
  • Provided due diligence and regulatory structuring support to a Singapore-based investor in connection with proposed acquisitions of bank equity interests in Southeast Asia, the Middle East, and Hong Kong, including review of eligibility requirements for access to international clearing and settlement systems.
  • Represented a Shanghai-based company in negotiations with a Hong Kong investor regarding a financing transaction, and led the drafting and execution of the related financing agreements.

② Entity Formation & Operational Compliance

  • Serves as outside general counsel providing corporate advisory and operational compliance support to Chinese companies with established U.S. operating entities.
  • Serves as standing outside counsel to the Shanghai subsidiary of Repligen Corporation, a U.S. publicly listed company.
  • Represented Kechuang Holdings Group Co., Ltd. and its affiliated entities in litigation and non-litigation matters, including corporate operations and investment/financing-related legal matters.
  • Serves as standing outside counsel to Shanghai VIP Investment Management Co., Ltd.
  • Serves as standing outside counsel to the Shanghai Representative Office of the People's Government of Sichuan Province.

③ Commercial Disputes & Cross-Border Litigation

  • Represented distributors and cross-border e-commerce companies in product liability claims arising from U.S. retail sales channels.
  • Represented Navotech International Inc., a UK-based company, in contract disputes and related commercial matters in China.
  • Represented Softstar Entertainment Inc., a Taiwan-listed company, and its mainland China affiliates in game copyright enforcement, handling nearly 200 copyright infringement disputes.
  • Represented multiple shipping, marine fuel, and maritime companies in Shanghai and Jiangsu Province in dozens of maritime and admiralty disputes, including vessel construction disputes, marine fuel quality claims, and international carriage-of-goods-by-sea contract disputes.
  • Represented Shanghai Wandong Sanye Medical Equipment Co., Ltd. in multiple contract disputes and legacy debt matters.
  • Represented a Shanghai-based real estate developer in a major lending dispute.

④ Executive Immigration Planning

  • Assists Chinese executives, business owners, and professionals in connection with employer-sponsored U.S. immigration matters, providing preliminary case assessment and coordinating with U.S.-licensed immigration counsel on subsequent representation and filings.
